A DunhamTrimmer LLC and New Ag International Sarl Publication
These are the Terms and Conditions, which govern the use of 2BMonthly – The Global Biocontrol and Biostimulants E-Newsletter, A DunhamTrimmer LLC and New Ag International Sarl Publication. Use of the Publication implies acceptance of these terms and conditions, as amended from time to time. If you do not accept these terms and conditions then do not use or subscribe to the Publication. 1.1 Publisher: The owners and operators of the Publication, DunhamTrimmer LLC of 11523 Palmbrush Trail, Suite 301, Lakewood Ranch, FL 34202 USA and New Ag International Sarl of 37 avenue de Friedland, 75008 Paris, France.
1.2 Publication: The content in each issue of 2BMonthly and each Breaking News Update published by emailed PDF .
1.3 Subscription Period: The period set out in the invoice sent to you or your organization, or, if a trial, the agreed period or until the Publisher terminates the trial.
1.4 Subscription Fee: The current subscription fee as set out in any invoice sent to you or your organization.
1.5 User: The specified email recipient(s) of the company which has paid the Subscription Fee and receives each issue and all updates direct by email from the 2BMonthly distribution system.
1.6 Licensed Firm: The company who has paid the Subscription Fee and who has specified their individual employee recipients for the 2BMonthly Issues and updates. Each office location of the Licensed Firm requires a separate subscription license, which covers up to 4 email recipients at the subscribing office location. The Licensed Firm is not permitted to share access to the publication to any other non-subscribing offices.
2.1 All rights in the Publication belong to the Publisher or its third-party licensors and are protected by copyright, trademarks, service marks and/or other proprietary rights and laws of France and the United States. All individual articles, columns, emails and other elements of the Publication are also copyright works and you agree to abide by all applicable copyright and other laws, as well as any additional copyright notices or restrictions contained in the Publication or in these Terms and Conditions. The Publisher may license third parties to use the Publication in its sole discretion.
2.2 You agree to use the Publication solely for your own use and benefit and not for resale or other transfer or disposition to any other person or entity. You further agree not to use, transfer, distribute or dispose of any part of the Publication in any manner that might compete with the business of the Publisher.
2.3 You warrant that if you are a government or regulatory official, an in-house lawyer or a lawyer in private practice, or equivalent professional, you accept that the Publication is not to be used for transactions or the provision of legal advice.
2.4 You must take reasonable steps to ensure that no one else uses the materials in your name.
2.5 You must inform the Publisher immediately if you move organizations.
2.6 Any breach of the Conditions of Use or any unauthorized sharing of the publication you will entitle the Publisher, in addition to any other remedy available, to terminate this License immediately. In such event no part of the annual fee already paid will be repayable to you.
3.1 User license: Subject to the above, you may display the Publication on a computer screen, print individual pages on paper (but not photocopy them) and store such pages in electronic form on disk (but not on any server or other storage device connected to a network) but you may not reproduce, modify or exploit any of the Publication for commercial profit other than would be ordinarily made in the course of your business.
4.1 The Publication is distributed on an 'as is' basis without warranties of any kind, either express or implied.
4.2 Information may be incorrect or out of date.
4.3 Information may not constitute a definitive or complete statement of the law.
4.4 Materials are not intended to constitute legal advice in any specific situation.
4.5 You may not be able to access the Publication or any materials in it when you want to.
4.6 The Publisher may change or withdraw part of the Publication.
4.7 The Publication may not be compatible with your browser or computer configuration.
The liability of the Publisher, and the liability of any company within the same group of companies and all their respective agents, employees and sub-contractors to you or any other party for any losses or damages whatsoever arising in connection with the publication (whether under this License or other contract or in consequence of their misrepresentation, misstatement or tortious act or omission including negligence) is limited to damages of an amount equal to the subscription fee.
6.1 If you are in breach of these terms or if you move organizations the Publisher may terminate this license immediately upon giving you written notice.
6.2 You will automatically receive a subscription renewal invoice 2 months prior to your current subscription expiring. Your payment for the renewal invoice will confirm renewal of your subscription. The Publisher will terminate this license at the end of the Subscription Period if they have not received your payment for the subscription renewal invoice.
6.3 On termination, you must take reasonable steps to delete any part of the Publication copied to any hard disk or other permanent storage device.
This License is governed by French and American law and you submit to the non-exclusive jurisdiction of the French and American courts.
8.1 The Publisher and Publication will comply with the relevant French and American data protection laws, so normally any personal details provided to us will not be disclosed to third parties without the User's consent.
8.2 If the Publisher is requested by authorized third parties or regulatory or governmental agencies investigating illegal activities to provide information concerning Users' activities whilst using the Publication, the Publisher shall do so.
8.3 The Publisher will disclose Users' personal data if the Publisher is compelled to do so by law.
8.4 The Publisher reserves the right to notify or provide such information to the relevant authority if, in its sole opinion, the Publisher believes an emergency, illegal activity or some other reasonable basis exists for doing so.
8.5 The Publisher reserves the right to store and use Users' personal data solely for its own internal purposes and the Publisher further reserves the right to access, monitor and retrieve password-protected information in order to fulfill our obligations in these terms and conditions.
8.6 The Publisher reserves the right to include a User's company/firm/organization name in marketing materials.
